Company Registration in Tbilisi, Georgia

Establish your corporate presence within Georgia's streamlined business registration framework. We facilitate remote LLC and Individual Entrepreneurship setups via Power of Attorney, complete with a registered legal address in Tbilisi.

The Legal Framework

General Foreign Ownership Provisions

Under the Law of Georgia on Entrepreneurs, the jurisdiction offers a highly liberalized corporate environment. For standard commercial activities, Georgia generally imposes no restrictions on foreign ownership.

A foreign national or foreign corporate entity can own 100% of an ordinary Georgian Limited Liability Company (LLC). Furthermore, there is no requirement to appoint a local resident director. You can serve as the sole shareholder and sole director while residing anywhere in the world. (Note: Specific regulated sectors like banking or telecommunications may have separate ownership or licensing criteria).

  • 100% foreign capital generally permitted
  • No local resident director required
  • No minimum initial capital requirement for a standard LLC

Remote Formation via PoA

You generally do not need to travel to Tbilisi to register your business. The National Agency of Public Registry (NAPR) accepts remote incorporations through a legally verified Power of Attorney (PoA) from most jurisdictions.

The Process: We draft a bilingual PoA tailored to NAPR standards. You sign it before a local notary in your home country, have it Apostilled (or Legalized depending on your country's Hague Convention status), and courier the physical hard copy to our Tbilisi office. Once received, we execute the registration on your behalf.

Select the Right Corporate Structure

Georgia’s Tax Code features unique incentive regimes designed to attract qualifying IT companies, independent professionals, and holding structures.

LLC

Limited Liability Company

The standard vehicle for B2B services and international trade. Georgia utilizes the Estonian Tax Model, meaning corporate income is not taxed until it is distributed as dividends (0% on retained or reinvested earnings).

  • 15% Corporate Profit Tax (Triggered only upon dividend distribution)
  • 5% Dividend Withholding Tax
  • Liability legally limited to company assets
IE

Individual Entrepreneur

A streamlined structure for independent professionals. Registration as an IE allows the individual to subsequently apply for Small Business Status (SBS), provided their activities are not statutorily excluded.

  • 1% flat tax on gross annual turnover up to 500,000 GEL (Requires formal SBS approval)
  • Simplified accounting requirements
  • Personal liability applies to business debts
VIZ

Virtual Zone Person

A special tax status granted to eligible Georgian LLCs that produce IT software exclusively for export. Status is not automatic and is subject to strict substance requirements and agency review.

  • 0% Corporate Profit Tax specifically on exported IT services
  • 0% VAT on exported services
  • 5% Dividend Withholding Tax remains applicable upon distribution

The Reality of Corporate Banking in Georgia

While company registration in Georgia is highly streamlined, opening a corporate bank account is a strictly separate, highly regulated procedure governed by independent financial institutions.

Crucial Banking Limitations

A standard incorporation PoA is insufficient to open a bank account. Top-tier Georgian banks enforce stringent AML/KYC policies for foreign-owned entities. They generally require either a secondary, highly specific PoA or a remote video verification interview directly with the foreign director. Bank approval is never guaranteed.

The FinTech Alternative

A traditional local bank account is not a strict legal requirement to operate a Georgian LLC or IE. The Revenue Service generally permits Georgian entities to utilize international digital FinTech platforms (such as Wise, Payoneer, or Revolut Business) to conduct business and pay taxes, provided the specific platform's compliance policies accept Georgian registered companies.

* Note: Bank account application assistance ($180) is billed entirely separately from the company formation packages. This fee covers our administrative labor in submitting documentation; it does not constitute a guarantee of successful account opening.
